Terms of Service

1. Parties and Agreement
These Terms of Service ("Terms") govern the relationship between AccessBridge LLC, a Florida limited liability company operating the BaseBoost brand ("BaseBoost," "we," "us"), and the agency or authorized representative ("Agency," "you") that submits an intake, requests services, or makes payment for any BaseBoost deliverable. By submitting an intake form, requesting services, or making payment, you agree to these Terms in full.
BaseBoost provides services exclusively to agencies and their authorized representatives. BaseBoost does not contract directly with end clients. The Agency is the sole party to this agreement and is solely responsible for all representations made to its clients regarding deliverables produced by BaseBoost.
2. Services and Scope
BaseBoost offers the following fixed-scope deliverables:
A 22-point scored diagnostic of one client-facing asset. Delivers overall score, section scores, line-item findings with priority flags, and correction tier recommendation. Delivered as white-label DOCX and PDF.
A complete message and structure system including positioning reset, message hierarchy, homepage blueprint, trust architecture, conversion pathway, draft copy, and implementation protection notes. Includes all Structural Audit components. Delivered as white-label DOCX and PDF.
Available exclusively with Copy Architecture. A responsive HTML/CSS prototype implementing the approved architecture. Delivered as a zipped file package. Not a production-ready website — a structural presentation and developer handoff asset.
A complete brand and infrastructure build from zero. Includes live staging site, Market Intelligence Brief, color psychology and palette, logo direction concepts, Agency Presentation Narrative, and Implementation Protection Notes. Delivered within 5 business days of a confirmed complete intake. Not a finished production website.
Application of the 22-point cognitive friction exam to a completed production build. Delivered as a scored report identifying structural errors introduced during implementation. Available for any agency build submitted via URL.
Each engagement is fixed in scope. Scope does not expand after intake confirmation. Additional client assets, additional revision cycles, or work outside the defined deliverable require a separate engagement and separate payment.
3. Intake, Confirmation, and Clock Start
Submission of an intake form is not a purchase and does not begin an engagement. Engagements begin when BaseBoost confirms the intake is complete, scope is aligned, and payment is received. The approximately 48-hour delivery window for Audit, Copy Architecture, and Re-Audit (or 5-business-day window for Live Deck) begins at intake confirmation, not form submission.
BaseBoost reserves the right to decline any intake or application at its sole discretion. Capacity is limited. Acceptance is not guaranteed by submission.
4. Payment
Payment is collected after intake review and scope confirmation — never through the intake form itself. Payment in full is required before the engagement begins. BaseBoost does not offer payment plans, net terms, or post-delivery invoicing unless expressly agreed in writing by an authorized representative of AccessBridge LLC.
The Structural Audit fee of $595 is credited in full toward Copy Architecture for the same client if Copy Architecture is engaged within 90 days of Structural Audit delivery. Credits are non-transferable and apply to the same client only.
5. White-Label Confidentiality
All deliverables are formatted for white-label agency presentation. BaseBoost does not contact, communicate with, or present itself to Agency clients under any circumstances. BaseBoost does not appear on any deliverable by name unless expressly requested by the Agency in writing.
BaseBoost will not independently solicit, approach, or accept engagements from any entity identified as a client of a partner Agency. If an Agency client contacts BaseBoost directly, BaseBoost will return them to their Agency without engaging. This commitment survives the termination of any individual engagement.
The Agency is responsible for ensuring its client agreements and operating model permit white-label fulfillment. BaseBoost assumes no responsibility for any disclosure obligations the Agency may have to its clients.
6. Intellectual Property and Deliverable Ownership
Upon receipt of full payment, the Agency receives a perpetual, non-exclusive license to use, modify, and present all deliverable content for the specific client engagement for which it was produced. This license does not extend to resale of the deliverable as a standalone product, training of AI systems on deliverable content, or use of deliverable content for clients other than the one identified in the intake without a separate engagement.
The underlying methodology, scoring framework, and structural systems used to produce deliverables remain the intellectual property of AccessBridge LLC. Deliverable content is licensed, not sold.
7. No Revisions; Acceptance
Deliverables are accepted as delivered. No revision cycles are included in any tier. The intake process, scope confirmation, and direct communication before engagement begins are the mechanisms by which alignment is established. If the delivered scope materially deviates from the confirmed scope, the Agency must notify BaseBoost in writing within 5 business days of delivery. BaseBoost will review the notification and, at its sole discretion, determine whether a material deviation occurred.
8. Limitation of Liability
BaseBoost deliverables are strategic and structural in nature. Results — including but not limited to conversion rates, client retention, revenue outcomes, and campaign performance — depend on implementation quality, market conditions, and factors entirely outside BaseBoost's control. BaseBoost makes no warranty, express or implied, regarding specific business outcomes resulting from any deliverable.
To the maximum extent permitted by applicable law, AccessBridge LLC's total liability for any claim arising from a BaseBoost engagement is limited to the fees paid for the specific engagement giving rise to the claim. AccessBridge LLC is not liable for indirect, consequential, incidental, or punitive damages of any kind.
9. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Florida without regard to conflict of law principles. Any dispute arising from these Terms or a BaseBoost engagement shall be resolved by binding arbitration in Broward County, Florida, under the rules of the American Arbitration Association. The prevailing party shall be entitled to recover reasonable attorneys' fees.
10. Modifications
AccessBridge LLC reserves the right to modify these Terms at any time. Modifications are effective upon posting. Continued use of BaseBoost services after modification constitutes acceptance of the revised Terms. Engagements in progress at the time of modification are governed by the Terms in effect at the time of intake confirmation.
